Change in Shareholding Structure of HSCI

Moscow – 14 January 2014 OJSC HSCI – The Human Stem Cells Institute (“HSCI”, MOEX: ISKJ), one of Russia’s leading biotech companies specializing in cell-based, gene and post-genome technologies, today announces a change in the company’s shareholding structure.

Artur Isaev, the founder and General Director of HSCI, direct owner of 40.8% of the Company’s shares, on December 27, 2013, contributed part of these shares to the charter capital of another company affiliated with him – Dynamic Solutions Ltd.

Dynamic Solutions Ltd. (Seychelles) thus became a shareholder of HSCI with a 24% stake in the company’s share capital, which amounts to 7.5 million rubles and consists of 75 million ordinary (voting) shares, each with a par value of RUB 0.1.

In 2014 the Human Stem Cells Institute plans to create a corporate investment fund (СVC). HSCI will act as the manager of the fund (the fund management company). It is expected that the fund will invest in both separate projects and sector segments in the field of modern biomedical technologies. The aim of the investments will be to benefit from HSCI’s experience in the development and commercialization of products and services and the application of unique expertise in all the fields where the Company has gained experience. The fund is being created to capitalize on HSCI’s strategic advantages and to provide additional opportunities for entering new markets for biomedical products, services and technologies both in Russia and abroad which could positively impact the Company’s revenues.

Dynamic Solutions Ltd. plans to become a co-investor in the corporate investment fund created by HSCI. This partner already has investment experience in Russia in the IT sector. In particular, it is a co-investor in IPOboard LLC ( Operating since 2011, IPOboard is an online information and trading system that helps promising non-public innovative companies raise capital. The project is a part of Innovation and Investment Market of the Moscow Exchange and has been developed closely in cooperation with RUSNANO, the Russian Venture Company and other development institutions.
